Introduction
These Terms and Conditions ("Terms") govern the use of the website unionaa.com and the professional services provided by Union Accounting & Auditing LLC ("Union AA", "we", "our", "us"), a professional services firm registered and licensed in the United Arab Emirates with offices in Abu Dhabi and Dubai.
By accessing our website or engaging our services, you ("Client", "you") agree to be bound by these Terms. If you do not agree with any provision, please do not use our website or engage our services.
Professional Services
2.1 Scope of Services
Union AA provides professional accounting, auditing, taxation, advisory, and business support services as detailed on our website and in individual engagement letters. The specific scope, deliverables, timelines, and fees for each engagement are agreed in writing prior to commencement of work.
2.2 Engagement Letters
All formal professional engagements are governed by a signed Engagement Letter or Service Agreement, which constitutes the binding contract between Union AA and the Client. These Terms apply in addition to, and do not supersede, the specific terms of an individual engagement.
2.3 Independence and Objectivity
As a licensed auditing and accounting firm, Union AA maintains its professional independence in accordance with UAE regulatory requirements and the IESBA Code of Ethics. The Client agrees not to place undue pressure on Union AA that could impair its professional objectivity.
Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information, documents, and access necessary for Union AA to perform the agreed services
- Ensure that all information provided is true and not misleading
- Cooperate with Union AA's reasonable requests for clarification and documentation
- Promptly inform Union AA of any material changes to the business or financial circumstances relevant to the engagement
- Comply with all applicable UAE laws and regulations
Union AA is not liable for any errors, delays, or adverse outcomes resulting from incomplete, inaccurate, or untimely information provided by the Client.
Fees and Payment
4.1 Fee Agreement
Fees for all professional engagements are agreed in advance and set out in the Engagement Letter or Service Proposal. Fees are based on the scope of work, complexity, and time required.
4.2 Payment Terms
Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date. Union AA reserves the right to suspend services or withhold deliverables for overdue accounts.
4.3 Additional Charges
Additional work beyond the originally agreed scope may be subject to additional fees. Union AA will notify the Client before undertaking out-of-scope work wherever practicable.
4.4 Value Added Tax (VAT)
All fees quoted are exclusive of applicable VAT. VAT will be charged in accordance with UAE Federal Tax Authority regulations at the prevailing rate.
Confidentiality
Both parties agree to maintain strict confidentiality with respect to all information exchanged in connection with the engagement. Union AA's obligations of confidentiality are consistent with the professional ethics standards applicable to licensed accountants and auditors in the UAE.
This obligation of confidentiality survives the termination or completion of the engagement and applies to all personnel of Union AA who have access to client information.
Intellectual Property
All reports, documents, analyses, and deliverables produced by Union AA in the course of an engagement remain the intellectual property of Union AA until full payment has been received, at which point ownership of the specific deliverables transfers to the Client.
Union AA retains the right to use methodologies, templates, frameworks, and general professional knowledge developed during engagements for other professional purposes.
Union AA's name, logo, website content, and brand materials are proprietary and may not be reproduced, distributed, or used in any form without our prior written consent.
Limitation of Liability
7.1 Scope of Liability
Union AA's liability to the Client in connection with any engagement shall be limited to direct losses arising from our own professional negligence or wilful misconduct. We shall not be liable for indirect, consequential, or incidental losses.
7.2 Maximum Liability
Unless otherwise agreed in writing, Union AA's total liability in respect of any single engagement shall not exceed the total professional fees paid by the Client for that specific engagement.
7.3 Third-Party Reliance
Our reports and deliverables are prepared for the specific purpose and named addressees stated in the Engagement Letter. Union AA accepts no liability to any third party who relies on our work without our prior written consent.
Nothing in these Terms limits Union AA's liability for fraud, gross negligence, or any liability that cannot be excluded under UAE law.
Regulatory Compliance
The Client acknowledges that Union AA, as a licensed professional firm, is subject to regulatory obligations under UAE law including Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) requirements, FTA regulations, and Ministry of Economy licensing conditions.
Union AA may be legally required to report certain matters to relevant authorities. Compliance with such legal obligations does not constitute a breach of confidentiality or of these Terms.
Termination
Either party may terminate a professional engagement by providing written notice as specified in the applicable Engagement Letter. Upon termination:
- The Client shall pay all professional fees for work completed up to the termination date
- Union AA shall return original documents and records provided by the Client
- All confidentiality obligations shall continue to apply following termination
Union AA reserves the right to withdraw from an engagement without notice if continuation would breach professional ethics, legal requirements, or regulatory obligations.

10.1 General Use
Access to the Union AA website is provided for general information purposes only. The content published on the website does not constitute professional advice and should not be relied upon as such without engaging our services formally.
10.2 Accuracy of Content
